The Management Board of Bielfeld-based BIOGAS NORD AG has received the approval of the company's Supervisory Board to make use of its right to issue a convertible bond. This right was granted by resolution of the general meeting on August 31, 2009. The company will issue a convertible bond with 2 percent interest p.a. with a total nomi-nal amount of up to EUR 1,409,375.00. This will be distributed over up to 1,281,250 equal bearer bonds with a par value of EUR 1.10 each (each of them a 'bond' and all bonds together the 'con-vertible bond'). The conversion price was set at EUR 1.10 by resolution of the general meeting. The shareholders will have a subscription right at a ratio of 2 to 1. In other words, two shares entitle the holder to purchase one bond. The subscription period starts on December 8 and runs until December 22, 2009. There will be no trading in subscription rights on the stock exchange. The main shareholder, European Business Partners Sp. z o.o. (Warsaw, Poland), has already expressed its interest in subscribing all bonds not included in the subscription offer.
