Biogas Nord AG / Key word(s): AGM/EGM Biogas Nord (BGN) presents its figures for the financial year 2011 at the 2012 Annual General Meeting and lays out its strategic direction. – Annual General Meeting confirmed the Company’s three-pillar strategy – global expansion, self-owned plants and technological leadership – Start of subscription for corporate bonds on the 3rd of September 2012 Bielefeld, 19th of July 2012. Biogas Nord AG, the leading provider of innovative and customized biogas technology energy solutions, held its Annual General Meeting on Thursday the 19th of July 2012, in the Park Inn Hotel in Bielefeld. ‘We are very satisfied with the results of 2011,’ says Alexander Rechter, CEO of Biogas Nord, ‘they clearly show that 2011 was another successful year for the Company. The EBITDA rose by 76.9% – from TEUR 2,069 in 2010 it rose by TEUR 1,592 to TEUR 3,661. Our EBIT during the same period rose by 107.8% – from TEUR 1.469 in 2010 by TEUR 1,584 to TEUR 3.053 in 2011. If we take a look at the Company’s continuous positive development since European Business Partners (EBP) took over Biogas Nord three years ago, we see a significant improvement in the Company’s performance, and we are confident that we will continue this way. Our current situation and our project pipeline for 2012 bear out that we made the right strategic decisions, and can look into the future confidently.’ This assessment was shared by the shareholders, who adopted the whole agenda with a large majority, and thus provided full support for the strategic direction of the management. Biogas Nord’s three pillar strategy focuses on global expansion, the investment in self owned biogas plants and technological leadership in the production of modern and innovative biogas plants. The results for the financial year 2011 provide Biogas Nord with the necessary foundation to enter into and intensify the Company’s presence in many markets inside and outside of Europe offering good conditions and a robust demand for high quality biogas technology. The BiNoLiquifeed technology in particular is a unique feature of Biogas Nord, enabling plant owners to increase the efficiency of their plants, to use difficult substrates and to minimize their operating costs through the replacement of expensive feed-in technology. Biogas Nord’s technical innovations and the experience it gained while constructing more than 350 biogas plants in 14 countries, make it easy for the Company to expand globally. Compared to the German market, foreign markets are characterized by less competition, higher profitability, larger plant sizes and new fields of application. ‘Besides the expansion of our operations abroad, we are intensifying our investments into self-owned biogas plants’ says Asnat Drouianov, Co-Managing Director of Biogas Nord. ‘We see already the first real benefits from this strategy, upon which we embarked more than one year ago. The equity investments create a greater independence from the fluctuations of the construction market.’ With the planned launch of bearer bonds on the 3rd of September 2012, Biogas Nord intends to raise additional funds for investment into self-owned biogas plants. With a volume of up to EUR 10 million, a maturity of five years, a fixed interest rate of 7.55 percent per annum, a denomination and a minimum investment of EUR 1000, these bearer bonds are designed for private and institutional entities. It is planned to float the Biogas Nord Bonds in the ‘mittelstandsmarkt’ section of the Düsseldorf Stock Exchange on the 25th of September 2012.
