In the antitrust matter Federal Cartel Authority versus Sanacorp eG
Pharmazeutische Großhandlung (“SANACORP eG”) the Federal High Court of Justice
(Bundesgerichtshof), deciding today on the Federal Cartel Authority’s appeal,
reversed the decision of the Higher Regional Court (Oberlandesgericht) in
Düsseldorf dated December 23, 2002 and remitted the case to the Higher Regional
Court (OLG) Düsseldorf for rehearing and a new decision. The subject matter of
the merger control proceedings is the question, whether SANACORP eG may exercise
its options to purchase some 25.01 % of the shares in Andreae-Noris Zahn AG,
Frankfurt (“ANZAG”), which would secure the Sanacorp Group the majority of
voting rights and capital stock in ANZAG. In this context, SANACORP eG had
appealed against the prohibition order issued by the Federal Cartel Authority on
September 18, 2001, which was then reversed by decision of the Higher Regional
Appellate Court (OLG)in Düsseldorf on December 23, 2002. The OLG Düsseldorf will
now try and decide on the matter again.
SANACORP eG is the parent company of Sanacorp Pharmahandel AG (“SANACORP AG”).
It owns 100 % of the voting rights and some 75 % of the subscribed capital.
SANACORP AG is currently holding an interest of some 24.99 % in ANZAG.
