JoWooD and Infogrames establish strategic Partnership, in which
JoWooD takes the Majority-Control of Austrian Distributor
Dynamic Systems
The internationally successful Austrian games publisher JoWooD
Productions and European industry leader Infogrames, listed at the
Parisian stock market and the Nasdaq, have just agreed on a
comprehensive co-operation. This grants Infogrames exclusive
distribution rights for all JoWooD products in Germany, France,
the Benelux, Greece and Switzerland for the next three years. In
exchange, JoWooD and Dynamic Systems receive the right to
distribute all Infogrames products exclusively in Austria for
three years, the Czech Republic for two years, Slovakia, Hungary,
Slovenia and Croatia for one year. Infogrames’ most popular and
successful titles so far have been; Driver 2, V-Rally, The Smurfs,
Alone in the Dark, or Asterix. JoWooD’s most popular titles are
Industry Giant, Traffic Giant and Alien Nations.
According to this agreement, JoWooD takes over 70% of Dynamic
Systems. Dynamic Systems is clearly the market leader in
electronic entertainment and video-games distribution in Austria
and claims a product portfolio, containing more than 3,000 titles,
as well as representing over 30 international publishers. Dynamic
Systems was successfully started and built up by JoWooD founder
and CEO, Andreas Tobler. Furthermore, Dynamic Systems operates
its own branch in the Czech Republic. Dynamic’s headquarter in
Austria manages the export to Slovakia, Hungary, Slovenia and
Croatia, wherein Dynamic Systems will manifest its position in
those markets. The company raised a turnover of EUR 19.62 Million
with only 60 employees in 1999, reaching a profit before tax of
EUR 1.09 Million. An annual growth in Dynamic Systems’ turnover
of 20% is planned for the next years.
20.1 % of the shares are taken over by JoWooD on a cash
transaction, leaving Infogrames with 30%; further 49.9% of votes
are secured through a shareholders agreement with current limited
partner (Tobler Foundation), which will be entirely taken over by
JoWooD after the restructuring of Dynamic Systems Software GmbH &
Co KG.
This major take over allows JoWooD not only to reach the required
size to follow its growth strategy, but also to take advantage of
countless synergies in organization, logistics, product evaluation
and marketing. Most of all, this venture ensures direct contact
to the market and consumers, enabling JoWooD to react faster and
more flexible to occurrings and trends in the gaming industry.
Knowledge of the market is one of the crucial factors for the
success of a game and will now play an even bigger role in
JoWooD’s future projects and plans.

JoWooD und Infogrames beschließen strategische Partnerschaft
JoWooD übernimmt dabei die Mehrheit der Vertriebsgesellschaft
Dynamic Systems
Der international erfolgreiche österreichische Gamespublisher
JoWooD Productions Software AG hat soeben eine umfassende
Kooperation mit dem an Nasdaq und Pariser Börse notierenden
europäischen Branchenleader Infogrames abgeschlossen. Im Rahmen
der vereinbarten strategischen Partnerschaft erhält Infogrames die
exklusiven Vertriebsrechte aller JoWooD-Produkte für Deutschland,
Frankreich, die Beneluxstaaten, Griechenland und die Schweiz für
die nächsten drei Jahre. Im Gegenzug sichern sich JoWooD und
Dynamic Systems die exklusiven Vertriebsrechte für alle Produkte
von Infogrames für Österreich für die nächsten 3 Jahre, Tschechien
für die nächsten 2 Jahre sowie einjährig laufende Vertriebsrechte
für die Gebiete Ungarn, Slowakei, Slowenien und Kroatien. Zu den
erfolgreichsten Titeln von Infogrames zählten bisher z.B. Driver
2, V-Rally, Die Schlümpfe, Alone in the Dark oder Asterix.
JoWooD’s erfolgreichste Titel sind bis dato, “Der Industrie
Gigant”, “Der Verkehrs Gigant” und “Die Völker”.
JoWooD übernimmt gleichzeitig einen Anteil von 70 % an der Dynamic
Systems Software GmbH & Co KG. Dynamic Systems ist klarer
österreichischer Marktführer im Bereich der Computer- und
Videospieledistribution und verfügt über ein Produktportfolio von
mehr als 3000 Softwaretiteln und vertritt mehr als 30
internationale Softwareanbieter. Dynamic Systems wurde ebenfalls
von JoWooD-Gründer und CEO Andreas Tobler erfolgreich aufgebaut.
Weiters betreibt Dynamic Systems eine eigene
Vertriebsniederlassung in Tschechien. Aus Österreich erfolgt auch
der Export in die Slowakei, Ungarn, Slowenien und Kroatien, wobei
auch in diesen Ländern eine starke Marktposition gehalten wird.
Das Unternehmen erzielte im Geschäftsjahr 1999 mit rund 60
Mitarbeitern einen Jahresumsatz von ca. ATS 270 Millionen (EUR
19,62 Millionen) und erwirtschaftete dabei ein Vorsteuerergebnis
in der Höhe von über ATS 15 Millionen (EUR 1,09 Millionen). In den
nächsten Jahren ist für Dynamic Systems ein durchschnittliches
Umsatzwachstum von jährlich 20% geplant.
20,1% der von JoWooD übernommenen Anteile werden von Infogrames
abgegeben, die damit noch zu 30 % am Unternehmen beteiligt bleibt.
Weitere 49,9% der Stimmrechte sichert sich JoWooD über einen
Syndikatsvertrag mit dem derzeitigen Kommanditisten (der Tobler
Privatstiftung) und wird diesen Anteil nach Umstrukturierung der
Dynamic Systems Software GmbH & Co KG zur Gänze übernehmen. Der
Kaufpreis an Infogrames wird in Cash beglichen.
Mit Dynamic Systems erreicht JoWooD nicht nur die für die weitere
Expansion erforderliche kritische Größe, es entstehen zusätzlich
zahlreiche Vorteile, wie z.B. eine wesentliche Verbreiterung der
Wertschöpfungskette sowie umfangreiche Synergien in den Bereichen
Organisation, Logistik, Produktevaluierung und Marketing. Vor
allem aber sichert sich JoWooD den direkten Kontakt zum Markt und
kann dadurch noch schneller und flexibler auf aktuelle
Gegebenheiten und Trends reagieren. Die genaue Kenntnis des
Marktes – sie ist für den Erfolg eines Spieles von entscheidender
Bedeutung – wird damit in der zukünftigen Projektentwicklung von
JoWooD eine noch wichtigere Rolle spielen.
