With the consent of the Supervisory Board and the administrator of the
company's assets, the Management Board of the insolvent Hansa Group AG
resolved on January 13, 2015 to undertake all necessary measures for a
complete delisting of the company. In this context, an application to
delist the company will be submitted immediately to Deutsche Börse AG,
Frankfurt/Germany that will include revocation of admission to the
sub-segment of the regulated market (Prime Standard) and to the regulated
market (General Standard). The legal effective date for the revocation is
six months. An application will not be submitted for a deadline that
deviates from the exchange rules for the Frankfurt Stock Exchange; this
matter will be left to the discretion of Deutsche Börse AG.

The shares in the company are admitted to trading on the regulated market
(Prime Standard) of the Frankfurt Stock Exchange. They will continue to be
traded on the open market of the stock exchanges in Frankfurt, Berlin,
Munich, Hamburg, Stuttgart and Dusseldorf.

On October 1, 2014, the District Court of Duisburg as the competent
insolvency court approved the company's application dated July 9, 2014 to
open insolvency proceedings under debtor-in-possession management pursuant
to Sec. 270 German Insolvency Statute (InsO). Attorney Horst Piepenburg was
appointed as the administrator. Mr. Piepenburg had been previously
appointed as preliminary administrator by the District Court of Duisburg in
its decision dated July 11, 2014.
