Wertpapierhandelsgesetz (German Securities Trading Act)
– Shareholders of Gontard & MetallBank participate in the flotation of
IN-motion AG
– APN-Program with a preferred allotment ratio of 50:1
Frankfurt am Main, 2nd June 2000 – Gontard & MetallBank AG, Frankfurt am Main
offers its shareholders once again the opportunity of a preferred allotment as
part of its APN-Program (‘Aktie-plus-Neuemission’ or, literally, share-plus-
flotation). Under the terms of the preferred allotment and on request to their
custodian bank, shareholders of Gontard & MetallBank will receive one share in
IN-motion AG, Frankfurt am Main (securities ID no. 622 380) for every 50 shares
they hold in Gontard & MetallBank. In order to qualify for this preferred
allotment a shareholding of the corresponding number of shares in Gontard &
MetallBank is required at the close of business on 9th June 2000. As of 12th
June 2000 the shares of Gontard & MetallBank will be listed ex rights. These
rights will not be traded at any stock exchange. The subscription period will
run from 14th to 16th June and the issue price will be determined by means of a
bookbuilding process. The official listing in the Neuer Markt segment of the
Frankfurt Stock Exchange is planned for 20th June 2000.
Alongside Gontard & MetallBank as lead manager, the underwriting syndicate
includes Kempen & Co Merchant Bank (NL), Delbrück & Co Private Bankers as well
as Hauck & Aufhäuser Private Bankers. MeesPierson Securities (UK) Ltd. will act
as Selling Agent. During the forthcoming flotation 3.1 million shares will be
placed, of which 2.83 million come from a capital increase.
IN-motion integrates the fields of film/televison, music, multimedia as well as
merchandising. The company is marketing both its own and co-productions as well
as the rights therein worldwide. The proceeds from the capital increase will be
used, inter alia, for the expansion of the company’s film/television production
and distribution channels, the acquisition of a US music label as well as the
development of an innovative e-commerce platform and community.
